Welcome to NexSouk. These Terms and Conditions of Use (“Terms”) govern your access to and use of NexSouk’s website, platform, and all affiliated services (“Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.
1. Acceptance of Terms
By using NexSouk, you acknowledge and agree that:
- You are at least 18 years of age (or have verified parental/guardian consent).
- You have read, understand, and accept these Terms.
- You will comply with all applicable local, state, federal, and international laws, and with NexSouk’s policies.
We reserve the right to amend or update these Terms at any time. Continued use of the Services following any changes constitutes acceptance of those changes.
2. User Accounts and Security
Certain Services may require account creation. Users agree to:
- Provide accurate and complete registration information.
- Maintain the confidentiality of login credentials.
- Notify NexSouk immediately of unauthorized account use.
NexSouk is not liable for damages resulting from unauthorized use of accounts due to user negligence.
3. Community Submissions: News, Weather, and Sports, etc…
By submitting content (text, images, video, audio) to NexSouk, you represent and warrant that:
- You have the legal right and ownership to submit the content.
- Content is original, fact-based, and free from defamatory, illegal, or harmful material.
- You grant NexSouk a non-exclusive, royalty-free, perpetual, and worldwide license to use, distribute, and display the content across its platforms and affiliated channels.
NexSouk reserves the right to review, moderate, edit, or remove any submitted content at its sole discretion.
Prohibited content includes:
- False, misleading, or unverified information.
- Hate speech, threats, or harassment.
- Copyrighted material submitted without appropriate rights.
- AI-generated or manipulated content designed to deceive or impersonate.
4. Intellectual Property and Proprietary Protections
All content, systems, algorithms, structures, user interfaces, workflows, data models, trademarks, branding, and proprietary technology used on or within NexSouk™ are the intellectual property of NexSouk, LLC, and are protected under U.S. and international copyright, trademark, and applicable intellectual property laws.
Intellectual Property Protections Include:
- Proprietary token economy systems for user engagement and content interaction.
- A “pay-the-audience” model, allowing users to earn digital rewards for contributing to and consuming content.
- A system of AI-assisted moderation combined with human verification.
- Localized, geospatial vendor integration methods and real-time token redemptions.
- Automated tools for self-directed advertising and sponsorship placement.
- All foreseeable and obvious derivative combinations and permutations of formulation stemming from the original and anticipated innovations.
We have filed for protections with the United States Patent and Trademark Office (USPTO) covering key features of our platform, including some that are currently in development or not publicly disclosed, as well as all foreseeable derivative works, enhancements, and functional variations based on these core systems.
Prohibited Use
Any unauthorized use, duplication, reverse-engineering, replication, or redistribution of NexSouk’s proprietary systems—including but not limited to the “pay-the-audience” model, token-based engagement structures, and other current or anticipated foreseeable derivative platform innovations, constitutes a violation of NexSouk’s intellectual property rights. Such actions may be considered willful infringement and may subject the offending party to legal, financial, and injunctive remedies under applicable laws.
NexSouk™ actively monitors for unauthorized use, imitation, or misappropriation of its systems, workflows, and brand assets, and reserves the right to pursue enforcement to the fullest extent permissible by law.
Protection Against Tortious Interference and Bad-Faith Legal Actions
Any party initiating legal or administrative actions intended to interfere with the development, launch, or fair market competition of NexSouk™ may be subject to claims of tortious interference, and NexSouk reserves the right to seek compensatory and punitive damages where applicable.
5. NexSouk Token Rewards Program
5.1 Overview
The Token Rewards Program allows users to earn non-monetary digital tokens (“Tokens”) through platform interactions and verified referrals.
5.2 Eligible Activities
Users may earn Tokens through:
- Liking or engaging with content.
- Viewing full articles, videos, or audio segments.
- Commenting or submitting user-generated content.
- Sharing content externally.
- RSVP’ing for events or referring new users.
All actions are subject to audit. Duplicate actions, automation, or circumvention of platform rules is prohibited.
5.3 Token Value
- Tokens do not carry monetary value and are non-transferable unless otherwise authorized.
- Tokens are redeemable for rewards listed within the platform’s “Rewards Store”, subject to availability.
- Tokens may expire after 12 months of inactivity or at the discretion of NexSouk.
6. Token System Integrity and Abuse Enforcement
NexSouk maintains a zero-tolerance policy for manipulation or abuse of the Token Rewards Program or any platform gamification mechanism.
Prohibited conduct includes:
- Use of bots, scripts, or automation to simulate engagement.
- Creation of duplicate or fake accounts.
- Fraudulent referrals or content manipulation.
- Exploitation of platform bugs or systems.
Consequences of abuse include:
- Forfeiture of all earned Tokens.
- Immediate suspension or permanent account termination.
- Legal prosecution under applicable federal and state laws, including the Computer Fraud and Abuse Act (CFAA), the CAN-SPAM Act, and related FTC guidelines.
NexSouk reserves sole discretion in determining abuse and appropriate penalties.
7. Privacy and Data Collection
Use of NexSouk is subject to our Privacy Policy, which outlines how user data is collected, stored, and used, including:
- Behavioral tracking for platform improvement.
- Use of geolocation data to deliver localized content and services.
- Secure handling of personal data in compliance with applicable privacy laws, including the California Consumer Privacy Act (CCPA).
We do not sell personal data. Data may be shared with partners only to support essential services and only with appropriate user consent or legal requirement.
8. Limitation of Liability
NexSouk provides the platform “as is” without warranties, expressed or implied.
- We do not guarantee uninterrupted service or content accuracy.
- NexSouk shall not be liable for data loss, system errors, service interruptions, or damages arising from user content or actions.
- Maximum liability shall be limited to the value of any unredeemed Tokens, which carry no cash value.
9. Termination of Access
We reserve the right to suspend or terminate accounts or access privileges without notice in cases of:
- Violation of these Terms.
- Fraud, abuse, or manipulation of Services or systems.
- Submission of illegal or harmful content.
Users may delete their accounts at any time. However, content and transactional data may be retained as required by law or internal compliance.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Indiana, United States of America.
- Disputes shall be resolved through binding arbitration under the rules of the Federal Arbitration Act (FAA).
- No class-action lawsuits or jury trials are permitted.
- Claims must be brought within one (1) year of the occurrence of the dispute.
11. Third-Party Content and Links
NexSouk may provide access to or integrate third-party services. NexSouk is not responsible for the content, security, privacy, or practices of any external sites or platforms.
12. Changes to Terms
We may modify these Terms at any time. Users will be notified of material changes via platform notice or email. Continued use constitutes acceptance of the revised Terms.
